Payment Terms
Net 30 days for customers with approved credit inside the United States. All orders must be paid in U.S. dollars. Orders from outside the U.S. require advance remittance by wire transfer. Visa, Mastercard, Discover and American Express are accepted. Alternate international payment terms are considered upon request. Delinquent accounts are subject to suspension until payment arrangements are made. Any amounts due to CIVCO that are not paid on the due date therefor shall bear interest, from the date due until paid in full, at a rate equal to the lower of 1-1/2 percent per month or the highest legal rate.

Transportation, Packing and Shipment Terms
Unless otherwise specified in CIVCO’s order acknowledgement, products will be shipped using CIVCO’s designated carrier, Incoterms, with transportation charges paid by the purchaser. CIVCO shall make reasonable efforts to deliver accepted orders promptly, and shall notify purchasers of the reason for any delayed shipment. All products shall be packaged for shipment in accordance with standard commercial practices; however, CIVCO shall not be responsible for any delays or damages in shipment via a common carrier. All shipments shall be CIP Destination, unless otherwise specified in CIVCO’s order acknowledgement. Purchaser shall pay all transportation, freight and similar charges including all taxes and import duties. Title to the products and risk of loss shall pass to the purchaser upon issuance of carrier’s bill of lading. Overnight and rush shipments are provided for an additional fee.

Pricing and Discounts
For current pricing, consult the enclosed price schedule. Prices are subject to change without notice. Quantity discounts and blanket order pricing are available. Contact a customer service specialist for details. A $50 minimum purchase is required with each order. All prices are in U.S. dollars.

Unless otherwise noted in writing by CIVCO, all prices quoted shall be exclusive of all use, sales, excise, property, customs and similar taxes or duties. Any such tax, fee, or charge shall be paid by the purchaser in addition to the prices quoted or invoiced. CIVCO shall retain a purchase money security interest in all such products sold until the purchase price therefor is paid in full.

Claims, Shortages or Damages
Please open all shipments immediately and inspect for concealed damages, shortages or errors. If goods were damaged in shipping, please hold the package and request a carrier inspection and claim form. Please report any shortages or errors to your CIVCO customer service specialist within 30 days of receipt of shipment to arrange an authorized exchange.

Sample Request
Free non-sterile samples are available on selected products. Samples are provided for sizing and fit purposes only and are not authorized for use in clinical procedures.

Return Policy
If you are dissatisfied with a product, contact a CIVCO customer service specialist for advance return authorization and instructions. Returns should be arranged within 30 days of the invoice date and are subject to up to a 40 percent restocking fee. Returned goods must be in original packaging and in new condition. CIVCO reserves the right to refuse unauthorized returns or returns on custom manufactured products. No product may be returned if such product has expired according to product labels, if the seal or package integrity has been compromised, or if such product has not been used, handled or stored in accordance with CIVCO’s quality control guidelines.

The information is stored and processed and shared with CIVCO worldwide affiliates to better understand your business needs and how we can improve our products and services; or CIVCO may use personal information to contact you about a CIVCO offer in support of your business needs or to conduct online surveys to better understand our customers’ needs. If you choose not to have your personal information used to support our customer relationship, we will respect your choice. We do not sell, rent or otherwise market your personal information to third parties

Quality Standards
CIVCO achieved ISO certification in 1996. This international standard recognizes a commitment to quality in design, product development, manufacturing and customer service. CIVCO is currently a registered medical device establishment with the USA Food and Drug Administration and the CMDCAS-Canadian Medical Device Regulations. CIVCO is also certified to ISO 13485:2003 and Medical Device Directive 93/42 EEC requirements. Compliance with these regulations demonstrates CIVCO’s commitment to providing the highest quality products and services to its customers. CIVCO’s ISO certifications and assessments are performed on a regular basis by SGS United Kingdom Ltd. Systems & Services Certification.

Limited Product Warranty
Reusable Products Manufactured by CIVCO: CIVCO warrants that products manufactured by CIVCO and intended to be reusable shall be free from defects in materials and workmanship for 12 months from the date of invoice by CIVCO unless otherwise stated on the product labeling and/or instructions.

Disposable Products Manufactured by CIVCO: CIVCO warrants that products manufactured by CIVCO and intended to be disposable (single-use) shall be free from defects in materials and workmanship for 12 months from the date of invoice by CIVCO unless otherwise stated on the Product labeling and/or instructions. Sterile disposable products shall be sterile for not less than 12 months from the date of invoice by CIVCO unless otherwise stated on the Product labeling and/or instructions.

Products Not Manufactured by CIVCO: Products not manufactured by CIVCO are warranted only by the original manufacturer and only if and to the extent set forth in the original manufacturer’s warranty as stated on the product labeling and/or instructions, if applicable.

Limited Remedy: Any breach of the foregoing warranties must be reported prior to expiration of the warranty period, and the Purchaser’s exclusive remedy, and CIVCO’s entire liability for breach of the foregoing warranties, shall be repair or replacement, at CIVCO’s option, of the non-conforming product or part, or if neither is in CIVCO’s opinion commercially feasible, refund of the purchase price paid for the product in question. Such obligation shall be subject to CIVCO being granted the reasonable opportunity to inspect, at CIVCO’s expense, the non-conforming product at the location of its use or storage and, upon request in accordance with CIVCO’s instruction, return of the product to CIVCO at CIVCO’s cost. Any replacement of product may be made by substitution of any similar product meeting quality specifications and payment by CIVCO of all freight, handling and duty charges incident thereto.

Limitation of Liability:
TO THE FULL EXTENT ALLOWED BY LAW, THE WARRANTIES AND REMEDIES SET FORTH IN THESE STANDARD TERMS AND CONDITIONS OF SALE ARE EXCLUSIVE AND ARE IN LIEU OF ALL OTHER REPRESENTATIONS, WARRANTIES, TERMS, OR CONDITIONS, EXPRESS OR IMPLIED, EITHER IN FACT OR BY OPERATION OF LAW, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES, TERMS, OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, CORRESPONDENCE WITH DESCRIPTION, AND NONINFRINGEMENT, ALL OF WHICH ARE HEREBY EXPRESSLY DISCLAIMED. IN NO EVENT SHALL CIVCO BE LIABLE TO PURCHASER OR ANY END-USER FOR ANY OTHER DAMAGES, INCLUDING WITHOUT LIMITATION SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, DAMAGES FOR LOSS OF USE, LOSS OF BUSINESS OR PROFITS, LOSS OF BUSINESS OPPORTUNITY, OR INDIRECT DAMAGES OF ANY NATURE WHATSOEVER.

NOTWITHSTANDING THE FOREGOING, CIVCO MAKES NO WARRANTY, NOR SHALL IT HAVE ANY OBLIGATION TO ANY PURCHASER OR END-USER WITH RESPECT TO ANY PRODUCT SOLD HEREUNDER, IF SUCH PRODUCT HAS EXPIRED ACCORDING TO PRODUCT LABELS OR HAS NOT BEEN USED, HANDLED OR STORED IN ACCORDANCE WITH WRITTEN CIVCO GUIDELINES.

Certain Legal Limitations
The foregoing warranties give purchasers specific legal rights which may vary depending on local law. Some countries, states, or provinces do not allow the exclusion or limitation of implied warranties or the limitation of incidental or consequential damages for certain products supplied to consumers, or the limitation of liability for personal injury, so the above limitations and exclusions may be limited in their application to purchasers. When, under applicable law, implied warranties are not allowed to be excluded in their entirety, such warranties will be limited to the duration of the applicable written warranty.

Right of Setoff
CIVCOshall have the right to setoff against any sum otherwise due to any purchaser by any of the CIVCO companies any sums or amounts then due from such purchaser and/or its affiliates to CIVCO and/or its affiliates.

Force Majeure
CIVCO shall not be liable or be deemed to be in default under these terms and conditions for non-performance or delay in performance of its obligations under these terms and conditions to the extent that it is caused by any act of God or public enemy, war, riot, civil commotion, act of terrorism, flood, fire, epidemic, action of the elements, strike or labor unrest, lockout, labor dispute, governmental law, regulation, ordinance, order of a court of competent jurisdiction, executive decree or order, earthquake, accident, explosion, casualty, embargo or any other cause beyond CIVCO’s reasonable control.

Governing Law
These terms and conditions, and any disputes which may arise out of deliveries from any of the CIVCO companies to purchaser or other transactions or agreements to which these terms and conditions apply, shall in all respects be governed by and interpreted, construed and enforced in accordance with the laws of the State of Delaware, United States of America, without giving effect to any choice of law or conflict of law provision (whether of the State of Delaware or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of Delaware, USA. To the extent and in the event the United Nations Convention on Contracts for The International Sale of Goods could be applicable by operation of the laws of the United States of America and of the State of Delaware, the Parties hereby opt out of the application of the Convention and any applicable international discovery and service of process conventions shall not be applicable. Any action or proceeding seeking to enforce any provision of, or based on any right arising out of, these terms and conditions may be brought against any of the parties in the courts of the State of Delaware, and each of the parties consents to the jurisdiction of such courts (and of the appropriate appellate courts) in any such action or proceeding and waives any objection to venue laid therein. Process in any action or proceeding referred to in the preceding sentence may be served on any party anywhere in the world.

Amendment
These terms and conditions may be amended or modified by CIVCO in whole or in part at any time by delivering a copy of such modified terms and conditions to purchaser.

Miscellaneous
The rights and remedies of CIVCO herein are cumulative and in addition to all other rights and remedies available at law or in equity. Any failure to enforce any provision of these terms and conditions may not be construed as a waiver of such provision or any other provision nor of the right to enforce such provision. The invalidity, in whole or in part, of any provision hereof shall not affect the remainder of the provisions. Any waiver or renunciation of a claim or right arising out of breach must be in writing and signed by the injured party.
